Terms and Conditions

1. Orders and acceptance

All orders are subject to acceptance by Harper House LLC d/b/a Olivya Stone (the Seller), which reserves the right to refuse or cancel any order prior to shipment. Olivya Stone sells exclusively to the trade: accounts are extended to registered design firms, architecture practices, and procurement businesses, are verified before approval, and credentials are for the named individual.

By placing an order you agree to these Terms and Conditions, and acceptance of delivery is further assent to them. They form the complete and exclusive agreement between the parties, superseding prior agreements. Any modification must be in writing and signed by an authorized officer of Olivya Stone.

2. Prices and payment

Prices are subject to change without notice and exclude freight, packing, handling, insurance, and taxes unless stated. The price confirmed on your signed quote is the price that holds for that order.

A 50 percent deposit is required to place an order into production. Custom and special orders may require full payment up front, and in-stock pieces are paid in full at the time of order. The remaining balance, including shipping, handling, and taxes, is due before shipment.

Accounts unpaid 60 days after the final invoice accrue a service charge of 1.5 percent per month or the maximum rate the law permits, whichever is less.

Fabric and leather ordered as material may carry minimums and cut fees, and overages are not returnable once cut or processed.

3. Production times

Standard production runs 14 to 16 weeks, 14 to 18 weeks with COM, and 18 to 22 weeks from DFA approval on custom work. Rush production is available at eight weeks for an additional fee. All production times are estimates based on supplier availability; Olivya Stone does not guarantee specific delivery dates.

4. Storage

If merchandise is not collected or shipped within 21 days of the final balance invoice, storage fees of up to 3 percent of the invoice value per month may apply. Olivya Stone is not liable for the condition of merchandise held past the agreed collection or delivery date.

5. Changes, cancellations, and returns

Orders cannot be modified or cancelled more than 10 business days after the order date. Custom orders cannot be cancelled once materials have been purchased or production has begun. Changes or cancellations authorized after the 10-day window may incur a fee of 30 to 50 percent of the net selling price, reflecting costs already incurred.

Returns require prior written approval and a Return Merchandise Authorization. Approved returns of stock pieces incur a restocking fee of 25 to 30 percent plus handling and return freight. Pieces that have been installed, altered, damaged, or used are not eligible.

Custom, made-to-order, COM, special-finish, and Quick Ship final-sale pieces are not returnable and not refundable once production has begun, deposits included. Full return conditions and timelines are in our Delivery and Return Policy.

6. Title, risk of loss, and shipment

Title and risk of loss pass to the buyer once goods are delivered to the carrier, warehouse, or receiving agent. As a courtesy, Olivya Stone may arrange shipment through partner freight companies unless the buyer specifies a carrier; once a carrier takes possession, damage claims are pursued with the carrier.

The buyer or receiving warehouse must inspect on arrival and note any damage on the Bill of Lading before signing. Concealed damage must be reported to Olivya Stone within 48 hours with photographs. A BOL signed without notation indicates delivery in good condition.

7. Wood, humidity, and natural variation

Solid wood expands and contracts with humidity and temperature. Minor movement, slight checking, and seasonal change are characteristics of the material, not defects, and are not covered by warranty. We recommend keeping indoor humidity between 40 and 50 percent.

Variations in stone, wood grain, leather, and hand-applied finishes are natural. Exact color matches and fade resistance are not guaranteed, photography and renderings are for reference, and dimensions in our materials are approximate, with a variance of up to half an inch considered normal on handcrafted work.

8. Warranty

Olivya Stone warrants its products against defects in workmanship and materials for one year from delivery unless otherwise stated. Outdoor frames may carry two years where specified. COM materials are excluded, and Olivya Stone does not warrant textiles against fading, stretching, or color transfer.

Normal wear, misuse, neglect, accidents, and exposure to extreme environments are not covered. On a confirmed claim, Olivya Stone will repair or replace the piece, subject to standard production lead times. Unauthorized repairs or modifications void the warranty, which applies to the original purchaser only and is not transferable.

This warranty is in lieu of all other warranties, express or implied, including merchantability or fitness for a particular purpose. Olivya Stone is not liable for incidental or consequential damages.

9. Liability and remedies

Olivya Stone is not liable for indirect, incidental, special, or consequential damages, and its total liability shall not exceed the purchase price of the products in question. The buyer's exclusive remedy is repair, replacement, or, at Olivya Stone's option, a refund or credit up to the purchase price.

If the buyer defaults, including on payment, Olivya Stone may cancel any unshipped portion of the order, retain goods, declare the deposit forfeited as liquidated damages, and pursue other available remedies.

The buyer agrees to indemnify and hold Olivya Stone harmless from claims arising from misuse, modification, unauthorized repair, or violation of these Terms. The buyer is responsible for ensuring pieces fit through doorways, stairwells, and elevators, and for requesting any required code certifications, such as fire ratings, before ordering. We recommend professional installation for lighting, large case goods, and anything attached to a wall.

10. Memo policy

Select merchandise may be borrowed on memo for up to five business days so a piece can be seen in place. A security deposit equal to the full value of the memoed pieces plus taxes is required before release, and late return, damage, or loss may result in the deposit being applied as payment in full.

The memo client is responsible for packing, transport, and return in the original packaging with all hardware, using an enclosed vehicle and adequate protection. Upholstered and finished pieces must come back clean and undamaged; any required cleaning is at the memo client's expense. Olivya Stone can help coordinate transport on request, with related fees charged to the memo client.

11. General provisions

Olivya Stone is not liable for delays caused by events beyond its reasonable control, including government action, labor or supply shortages, and natural disasters; lead times may be extended accordingly. The buyer is responsible for all taxes, duties, and fees connected with the sale.

All designs, product images, and related intellectual property remain the exclusive property of Olivya Stone. Olivya Stone cannot guarantee future availability of matching materials or finishes, and reorders may differ in tone or grain.

A waiver of any breach is not a waiver of future breaches, and must be in writing. If any provision of these Terms is unenforceable, the rest remain in effect.

12. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Any dispute may, at Olivya Stone's election, be submitted to binding arbitration in Los Angeles under the rules of the American Arbitration Association, whose decision is final. The prevailing party in any action is entitled to reasonable attorney fees and costs to the extent the law allows.
